1. Definitions

- "User," "You," or "Client" refers to any individual or entity accessing our website or engaging our services
- "We," "Us," or "Our" refers to Zenith Coders
- "Website" refers to zenitois.live and all associated pages
- "Agreement" refers to these Terms and Conditions plus any service-specific contracts
- "Content" refers to all text, images, data, and materials on our website
2. Acceptance of Terms
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please discontinue use of our website and services immediately.
You represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are accessing our services on behalf of an organization, you represent that you have authority to bind that organization to these terms.
3. Service Description
Zenith Coders provides AI integration services including but not limited to:
- AI implementation roadmap development
- AI application development and integration
- Continuous improvement services for deployed AI solutions
- Consultation on AI implementation strategies
Service availability and specific deliverables are subject to individual service agreements. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.
4. User Obligations
4.1 Acceptable Use
When using our services, you agree to:
- Provide accurate and complete information
- Maintain the confidentiality of any account credentials
- Use services only for lawful purposes
- Comply with all applicable laws and regulations
- Cooperate with our team during service delivery
- Provide timely feedback and approvals as required
4.2 Prohibited Activities
You must not:
- Use services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of our services
- Transmit viruses, malware, or harmful code
- Violate intellectual property rights
- Misrepresent your identity or affiliation

5. Intellectual Property
5.1 Our Intellectual Property

5.3 Client-Provided Content
You retain ownership of any data, materials, or content you provide to us. By providing such content, you grant us a license to use it solely for the purpose of delivering services to you.
6. Payment Terms
Service fees are as specified in individual service agreements. Payment terms include:
- Fees are quoted in Malaysian Ringgit (RM) unless otherwise specified
- Payment is due within 30 days of invoice date unless otherwise agreed
- Late payments may incur interest charges of 1.5% per month
- We reserve the right to suspend services for non-payment
- All fees are exclusive of applicable taxes
6.1 Refund Policy
Refunds are considered on a case-by-case basis. Generally, fees for completed work are non-refundable. For multi-phase projects, refunds may be available for work not yet commenced, subject to administrative fees.
7. Service Delivery
7.1 Scope and Timelines
Service scope, deliverables, and timelines are defined in individual service agreements. While we make reasonable efforts to meet agreed timelines, dates are estimates and not guarantees unless expressly stated as firm deadlines.
7.2 Changes and Modifications
Changes to project scope may affect timelines and fees. Significant changes will be documented through formal change request processes with mutual agreement required before proceeding.
7.3 Client Responsibilities
Timely service delivery depends on your cooperation, including providing necessary access, information, approvals, and feedback as requested. Delays caused by client factors may affect project timelines.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary information exchanged during service delivery. This includes:
- Business strategies and plans
- Technical specifications and data
- Financial information
- Trade secrets and methodologies
Confidentiality obligations survive termination of services and remain in effect for five years from disclosure date.
9. Disclaimers
9.1 Service Warranty
Services are provided "as is" without warranties of any kind, express or implied. We do not warrant that services will be uninterrupted, error-free, or meet specific requirements beyond those expressly agreed in writing.
9.2 Results Disclaimer
While we apply professional expertise to all engagements, we cannot guarantee specific business outcomes or results. AI implementation success depends on multiple factors including data quality, organizational readiness, and environmental conditions beyond our control.
9.3 Professional Advice
Our services constitute technical and business consulting. They do not constitute legal, financial, or regulatory advice. You should consult appropriate professionals for such matters.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim shall not exceed fees paid for the specific service giving rise to the claim
- We are not liable for indirect, consequential, or incidental damages including lost profits, data loss, or business interruption
- Liability limitations apply regardless of the form of action (contract, tort, negligence, or otherwise)
- Claims must be brought within one year of the event giving rise to the claim
These limitations reflect the allocation of risk between parties and are reflected in service pricing.
11. Indemnification
You agree to indemnify and hold harmless Zenith Coders, its officers, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your use of services, violation of these terms, or infringement of third-party rights.
12. Termination
12.1 Termination by Either Party
Either party may terminate services with 30 days written notice. Early termination may result in fees for work completed to date plus reasonable wind-down costs.
12.2 Immediate Termination
We may immediately terminate services if you breach these terms, fail to pay fees, or engage in prohibited activities.
12.3 Effects of Termination
Upon termination, you must pay all outstanding fees, and we will provide deliverables completed to that point. Provisions regarding confidentiality, intellectual property, and liability survive termination.
13. Dispute Resolution
In the event of disputes:
- Parties will first attempt informal resolution through good-faith negotiation
- If negotiation fails within 30 days, disputes may be submitted to mediation
- Unresolved disputes will be subject to arbitration or litigation in Malaysian courts
These terms are governed by Malaysian law. The courts of Malaysia have exclusive jurisdiction over disputes.
14. General Provisions
14.1 Entire Agreement
These Terms, together with any service-specific agreements, constitute the entire agreement between parties and supersede all prior discussions or agreements.
14.2 Severability
If any provision is found unenforceable, remaining provisions continue in full effect.
14.3 Waiver
Failure to enforce any right does not constitute waiver of that right.
14.4 Assignment
You may not assign rights or obligations without our written consent. We may assign our rights to affiliates or in connection with business transfers.
14.5 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control including natural disasters, pandemics, war, or government actions.
15. Changes to Terms
We may update these Terms periodically. Changes will be posted on our website with an updated "Last Updated" date. Significant changes will be communicated through email or website notice. Continued use after changes constitutes acceptance of modified terms.
